1. Acceptance of Terms
By accessing, browsing, or using the AppGild marketplace (the "Platform"), including appgild.ai, appgild.com, and any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Platform.
Meridian Data LLC, a Washington State limited liability company and operator of the AppGild platform ("AppGild," "we," "us," "our"), reserves the right to modify these Terms at any time. Changes become effective immediately upon posting. Continued use following modifications constitutes acceptance of the updated Terms. We will notify registered users of material changes via email or prominent notice on the Platform at least 14 days before such changes take effect.
2. Description of Platform
AppGild is a marketplace platform where builders list, sell, and distribute applications ("Apps"), and buyers discover, purchase, and use these Apps. AppGild supports three hosting models: AppGild-Hosted (we host the app), Creator-Hosted (the builder hosts on their own infrastructure), and Uses External Services (apps that integrate third-party APIs or services).
Listings include both software applications and AI agents (Apps that use artificial intelligence to generate outputs or perform tasks on a buyer's behalf). AI agents are operated by the builders who list them; see Section 5.4 (AI Agents and AI-Assisted Apps).
AppGild acts as a marketplace intermediary. We facilitate app discovery, process payments via Stripe Connect, manage license key distribution, and provide platform support. Except for AppGild-Hosted apps, AppGild is not the host, publisher, or creator of Apps listed on the Platform.
Pursuant to Section 230 of the Communications Decency Act (47 U.S.C. § 230), AppGild is not the publisher or speaker of any third-party content on the Platform, including Apps, reviews, and user-generated content. AppGild's quality review process is a good-faith editorial function and does not make AppGild the publisher, author, or guarantor of any App or its functionality.
3. User Accounts
You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
You agree to provide accurate and current information, maintain the confidentiality of your credentials, accept responsibility for all activity under your account, and notify us immediately of any unauthorized use at support@appgild.ai. AppGild is not liable for losses arising from unauthorized use of your account where you failed to maintain credential security.
4. Buyer Terms
All purchases are subject to AppGild's 14-day money-back guarantee as described in our Refund Policy. License keys grant you a personal or internal business-use license only and may not be redistributed, resold, sublicensed, or shared outside your organization without the builder's written consent.
Access to apps depends on the hosting model. AppGild-Hosted apps are available as long as the listing is active on the Platform. Creator-Hosted apps depend on the builder's infrastructure, and AppGild makes no guarantee of their uptime, availability, or continued operation. Apps using external services are subject to the terms and availability of those third-party services.
You acknowledge that Apps are created by independent third-party builders, not by AppGild. AppGild does not warrant or guarantee the functionality, accuracy, reliability, security, or fitness for any particular purpose of any App. Your use of any App is at your own risk. For Apps that are AI agents or otherwise use AI, outputs and actions are probabilistic and may be inaccurate, incomplete, or wrong; you are responsible for reviewing and independently verifying them before relying on or acting on them, and should not rely on them for important decisions (including legal, financial, tax, medical, or other professional matters) without independent verification.
5. Builder Terms
By listing an App on AppGild, you represent and warrant that you own or have all necessary rights, licenses, and permissions to distribute the App and any content within it; the App does not infringe on any third-party intellectual property, privacy, or other rights; you will provide accurate and complete descriptions of your App's functionality and limitations; and you will comply with all applicable laws and regulations.
Builders agree to maintain functional apps (especially Creator-Hosted), respond to buyer support requests within 72 hours, and abide by AppGild's Acceptable Use Policy. AppGild charges a flat 20% commission on sales. The initial submission of a new app is free. If an app is rejected in review, each resubmission costs $2.99, up to a maximum of 5 paid resubmissions per app (6 total attempts including the free initial submission). AppGild reserves the right to introduce a listing fee or adjust commission and resubmission pricing in the future with reasonable advance notice.
If your App stores or processes user data, AppGild strongly recommends providing users with the ability to export their data (e.g., CSV download, PDF export, or similar). While this is not currently a listing requirement, it is considered a best practice that protects buyers in the event an App is discontinued or delisted, and may become a requirement in the future.
You retain all intellectual property rights to your App. By listing on AppGild, you grant AppGild a non-exclusive, worldwide, royalty-free license to display, distribute, and promote your App listing and associated materials (screenshots, descriptions, trust sheet data) on the Platform and in marketing materials. This license terminates when your App is removed from the Platform, except for copies reasonably needed for archival or legal compliance purposes.
5.1 Third-Party Services, Tracking, and Data Responsibility
You are the data controller (within the meaning of GDPR, CCPA, and equivalent privacy laws) for any data your App collects, stores, transmits, or processes about its end users. AppGild operates the marketplace and (where applicable) hosts your App's bundle, but does not determine the purposes or means of any data processing you implement in your App. You are solely responsible for complying with all applicable privacy, data-protection, and consumer laws in every jurisdiction where your App is used, including but not limited to maintaining your own privacy policy, implementing required consent mechanisms (such as cookie banners where required), honouring user rights requests, and lawfully handling any personal data your App touches.
Third-party analytics, advertising pixels, and tracking tools (including but not limited to Google Analytics, Google Tag Manager, Meta Pixel, TikTok Pixel, Plausible, PostHog, Mixpanel, Sentry user-tracking, and any equivalent service) may be included only in Builder-HostedApps — Apps that you deploy and serve from your own infrastructure. AppGild-Hosted Apps— Apps where AppGild serves your bundle from its own infrastructure — must not embed any third-party analytics, advertising pixels, or tracking. This rule exists because, when AppGild serves the bundle, embedding builder- supplied tracking would draw AppGild into the data-controller chain under GDPR and equivalent laws; AppGild does not accept that posture. If your App needs analytics, choose the Builder-Hosted path during submission. Violation of this rule is grounds for immediate delisting.
For Builder-Hosted Apps that include any analytics, pixels, or tracking, you must accurately and completely disclose every provider and the purpose of the tracking in the listing details field provided in the App submission wizard. You confirm the accuracy of this disclosure by submitting the App, and material misrepresentation — including omitting a tracker you actually use — is grounds for delisting and forfeiture of any pending payouts. AppGild does not audit your App's code, and your listing details disclosure is the canonical statement on which buyers rely.
You agree to defend, indemnify, and hold harmless AppGild and its affiliates from and against any claims, losses, liabilities, damages, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your App's collection, use, transmission, storage, or disclosure of data, your use of third-party services within your App, any breach of applicable privacy or data-protection law in connection with your App, or any inaccuracy in your listing details disclosures.
5.2 Application Security & End-User Data
You are solely responsible for the security of your App and for protecting any data your App collects from or about its end users. Where your App stores or processes data about more than one end user, this includes implementing and maintaining access controls that prevent any end user from viewing, accessing, modifying, or deleting another end user's data.
AppGild does not build your App, does not provide or manage security for your App, and does not test, audit, scan, certify, or verify your App's security, access controls, data handling, or fitness for any purpose. AppGild operates a marketplace and, where applicable, hosts your App's static bundle for delivery; it does not control how your App authenticates users, authorises access, stores data, or otherwise protects end-user information.
You represent and warrant that you will implement security measures appropriate to the nature and sensitivity of the data your App handles, including (where applicable) per-user authentication and authorisation, server-side enforcement of access rules, encryption of sensitive data in transit and at rest, and timely remediation of vulnerabilities. You are solely responsible for any security vulnerability, misconfiguration, unauthorised access, or data breach affecting your App or its end users, and for meeting any breach-notification or other legal obligation arising from it. You agree to defend, indemnify, and hold harmless AppGild and its affiliates from and against any claims, losses, liabilities, damages, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or related to the security or insecurity of your App, any unauthorised access to or exposure, loss, or alteration of end-user data in connection with your App, any failure to prevent one end user from accessing another's data, or any breach of this Section 5.2.
5.3 Apps Are Built and Operated by Independent Builders
Apps listed on AppGild are created, hosted (in whole or in part), and operated by independent builders, not by AppGild. AppGild does not build these Apps, manage their security, or verify how they store or protect the information you provide to them. Each App is provided “as is,” and your use of any App and your decision to provide information to it are at your own risk.
You are responsible for the information you choose to share with an App. We recommend you review an App's listing details before purchasing, and avoid entering sensitive information — such as passwords you reuse elsewhere, financial account numbers, government identification numbers, or health information — into any App unless you trust the builder and are satisfied with how the App protects your data. To the fullest extent permitted by law, AppGild disclaims all liability arising from a builder's App, including its security, data handling, availability, or accuracy.
5.4 AI Agents and AI-Assisted Apps
Some Apps are AI agents or otherwise use artificial intelligence to generate outputs or take actions on a buyer's behalf. If you list such an App, you represent and warrant that you will clearly disclose, in the listing, that it is an AI agent or uses AI; the AI model or models it relies on; what buyer data is sent to AI providers; the actions the agent can take; the degree of human oversight involved; and the agent's known limitations. You must keep these disclosures accurate and current. Material misrepresentation, including omitting a capability, model, or data flow the agent actually uses, is grounds for delisting and forfeiture of pending payouts.
You acknowledge that AI outputs and actions are probabilistic and may be inaccurate, incomplete, outdated, or otherwise wrong, and may vary between uses. You are solely responsible for your agent's behavior, the AI models and third-party AI providers it relies on, and the data it processes. AI agents may rely on third-party AI providers whose availability, behavior, pricing, and terms may change at any time, which may affect or interrupt the agent's operation; managing that is your responsibility, not AppGild's.
To the fullest extent permitted by law, AppGild is not the provider or operator of any listed agent and is not liable for any loss or harm arising from an AI agent's outputs or actions, or from decisions made in reliance on them. You agree to defend, indemnify, and hold harmless AppGild and its affiliates from and against any claims, losses, liabilities, damages, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your AI agent's outputs, actions, models, data handling, or disclosures.
6. Payments
All payments are processed through Stripe Connect. AppGild does not store credit card numbers or sensitive payment credentials. Builder payouts are subject to a 16-day hold period to accommodate the buyer guarantee. AppGild deducts its commission before disbursing funds to builders via their connected Stripe account.
When a purchase is refunded, the related sale is reversed: the commission for that transaction is reversed and no builder payout is owed on it. Fees charged by the payment processor on the original transaction are not returned when a sale is refunded. Where a refunded sale settled to the builder's connected account in a currency other than US dollars, the unreturned processing-fee component is borne by the builder and may be deducted from the builder's available balance, reducing a subsequent payout by a corresponding amount.
Builders are solely responsible for their own tax obligations. AppGild may provide tax documentation (such as 1099 forms) as required by law but does not provide tax advice. All prices displayed on the Platform are in US dollars.
7. Content and Quality Review
All Apps submitted to AppGild undergo a quality review process before being listed on the marketplace. AppGild reserves the right to approve, reject, or remove any App at its sole discretion. Review criteria are described in our Acceptable Use Policy and Minimum Quality Criteria.
AppGild's review is a good-faith editorial assessment of listing quality and policy compliance only. AppGild does not conduct code reviews, security audits, penetration testing, or functional testing of submitted Apps, and does not verify any claims made in a listing by executing the underlying App. The review does not constitute a guarantee, certification, warranty, or endorsement of any App's functionality, accuracy, reliability, data handling, security, fitness for purpose, or commercial viability. All App design, development, support, data handling, and associated liability remain solely with the builder.
8. Prohibited Conduct
Users may not: upload malicious code, malware, or software designed to harm users or systems; misrepresent app functionality, pricing, or builder identity; infringe on intellectual property or other third-party rights; attempt to circumvent platform fees, payment processing, or licensing systems; use the Platform for illegal purposes; harass, threaten, or abuse other users; create multiple accounts to evade bans or restrictions; scrape, crawl, or systematically access the Platform without written permission; or attempt to reverse-engineer or interfere with Platform systems.
Violation of these terms may result in content removal, account suspension, permanent termination, forfeiture of pending payouts, or legal action, at AppGild's sole discretion.
9. Account Termination
You may close your account at any time by contacting support. AppGild may suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately.
For builders, termination does not affect existing buyer access to previously purchased AppGild-Hosted apps, which will remain accessible until those listings are archived. Pending payouts that have cleared the 16-day hold will be disbursed; payouts for transactions involved in disputes, chargebacks, or policy violations may be withheld.
10. Intellectual Property
The AppGild name, logo, branding, and Platform design are the property of Meridian Data LLC. Apps listed on the Platform remain the intellectual property of their respective builders. User-generated content (reviews, messages) is owned by the user who created it, with a license granted to AppGild to display it on the Platform.
If you believe that content on the Platform infringes your intellectual property rights, please contact us at legal@appgild.ai with a description of the copyrighted work, the infringing content, and your contact information. We will review and respond to valid notices in accordance with applicable law, including the Digital Millennium Copyright Act (DMCA). See our DMCA / Copyright Policy for how to file a takedown notice, our designated agent, the counter-notification process, and our repeat-infringer policy.
11. Disclaimer of Warranties
The Platform and all Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. AppGild specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
AppGild does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. AppGild does not warrant the accuracy, reliability, completeness, or timeliness of any content, including App listings, reviews, or builder-provided information.
12. Limitation of Liability
To the maximum extent permitted by applicable law, AppGild, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the Platform or any App.
AppGild's total aggregate liability for all claims arising out of or relating to these Terms or the Platform shall not exceed the greater of (a) the amounts you paid to AppGild in the 12 months preceding the claim, or (b) one hundred US dollars ($100).
AppGild is not responsible for the functionality, security, availability, data handling practices, or legal compliance of Creator-Hosted apps, External Service apps, or any third-party services integrated by builders.
13. Indemnification
You agree to indemnify, defend, and hold harmless AppGild, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Platform; your violation of these Terms; your violation of any applicable law or regulation; any App you list on the Platform (for builders); or your infringement of any third-party rights.
14. Dispute Resolution
Disputes between buyers and builders should first be addressed through the Platform's messaging system. If a resolution cannot be reached, either party may contact AppGild support for mediation. AppGild may, at its discretion, facilitate a resolution but is not obligated to do so.
Any dispute arising out of or relating to these Terms or the Platform that cannot be resolved informally shall be resolved through binding arbitration administered by a mutually agreed-upon arbitration provider, conducted in King County, Washington, USA. Each party bears its own costs. Claims must be brought in the party's individual capacity, not as a plaintiff or class member in any purported class or representative proceeding.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, USA, without regard to its conflict of law provisions. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in King County, Washington.
16. AI Use and Disclosure
We use AI tooling to operate AppGild efficiently as a small company. Specifically, AI assists with: drafting customer-facing communications (including some emails, in-app messages, and AppGild Build Assistant guidance); performing first-pass editorial review of builder listings for clarity and policy compliance; analyzing operational data; and drafting policy and product documentation. AI-drafted content is reviewed by AppGild staff before being relied upon for legally binding decisions or commitments.
Sam:"Sam" is AppGild's customer-facing voice; it represents AppGild itself and the small team operating the marketplace, not a single named individual. Messages signed as Sam may be drafted by a person, AI tooling, or both, and are reviewed against our internal communications standards before they go out. We don't claim Sam is an independent third-party persona with credentials separate from AppGild.
Editorial review:The first pass of every listing submission is automated and flags items for review. Final approve/reject decisions are made by AppGild staff during AppGild's early operating phase. Builders see the specific automated flags raised against their listing through their builder dashboard.
Policy documents: Several documents on the Platform (including these Terms, the Privacy Policy, the Acceptable Use Policy, and the Refund Policy) were initially AI-drafted and reviewed by AppGild staff. We intend to obtain attorney review of these documents and may update them as a result. Material changes will be communicated under Section 1.
No AI commitments:Any commitment, refund, fee waiver, or other action requiring discretion beyond AppGild's published policies requires a human decision. AppGild does not delegate binding decisions to automated systems.

17. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
18. Entire Agreement
These Terms, together with the Privacy Policy, Refund Policy, and Acceptable Use Policy, constitute the entire agreement between you and AppGild regarding the Platform and supersede all prior agreements and understandings, whether written or oral.
